1. HOW TO ENTER: Sweepstakes begins at 12:00 AM (EST) March 9, 2008 and ends at 11:59 PM (EST) April 8, 2008 ("Sweepstakes Period"). To enter the Sweepstakes during the Sweepstakes Period, visit www.michaeljackson.com/virginmobile and enter your first name, last name, address, city, state, zip code, telephone number, date of birth and e-mail address. All entries become the property of SONY BMG MUSIC ENTERTAINMENT (the "Sponsor") and will not be returned.

2. ELIGIBILITY: Open to legal residents of the 50 United States and the District of Columbia, 13 years of age or older as of March 9, 2008. Employees, persons living with them, and their immediate family members (spouses, parents, siblings, children, and their respective spouses) of the Sponsor and Virgin Mobile USA, L.P. ("VMU") and their respective parent companies, divisions, subsidiaries, affiliates, advertising and promotion agencies, and any other persons involved with this promotion, are not eligible to enter. By entering, entrants agree to be bound by these Official Rules including all eligibility requirements. All federal, state and local laws and regulations apply.

3. CONDITIONS OF ENTRY: By participating in this Sweepstakes, you (or if a minor, your parent or legal guardian) agree to release, indemnify and hold harmless the Sponsor, VMU, and their respective parent companies, affiliates, subsidiaries, agencies, employees, officers, directors, representatives, and advertising and promotion agencies from any and all injury, loss, harm, injury, death, damage, action, claim, demand, cost, expense and any other liability that may occur from entrant's acceptance, possession, use or misuse of any prize or participation in any Sweepstakes-related activity and for any claims based on publicity rights, defamation or invasion of privacy and merchandise delivery. The winner acknowledges that the Sponsor, VMU and all other companies concerned with this Sweepstakes and their agents do not make, nor are in any manner responsible for, any warranty and/or representation, express or implied, relative to the quality, condition, fitness or merchantability of any prize. By entering this Sweepstakes, you grant to Sponsor and its affiliated companies the right, except where prohibited by law, to use your name, likeness, picture, address (city and state), e-mail address, voice, biographical information, entry form information and written and oral statements, for advertising and promotional purposes in promoting or publicizing Sponsor and its products and services, without compensation unless required by law. Sponsor reserves the right to modify or terminate this Sweepstakes at its sole discretion; and if terminated to select winners from among all eligible entries properly received prior to date of termination. Notice of any termination will be posted at www.michaeljackson.com/virginmobile. Sponsor is not responsible for any injury or damage to entrants' or any other persons' computer related to or resulting from playing or downloading any materials in the Sweepstakes. Sponsor is not responsible for lost, interrupted, or unavailable network server or other connection, miscommunications, failed phone or computer or telephone transmissions or technical failure, jumbled, scrambled, or misdirected transmissions, or late, lost, damaged, misdirected or other error of any kind whether human, mechanical or electronic. Any attempt by any entrant to deliberately damage any web site or undermine the legitimate operations of the Sweepstakes is a violation of applicable criminal and civil laws. Should such an attempt be made, the sponsor reserves the right to seek all appropriate legal remedies, including damages, and to disqualify such entrant from the Sweepstakes. In the event that the Sweepstakes is, in the opinion of the Sponsor, compromised by virus, bugs, non-authorized human intervention or other causes beyond the control of the Sponsor which corrupts or impairs the administration, security, fairness, or proper play of the Sweepstakes, the Sponsor reserves the right in its sole discretion to suspend or terminate the affected method of entry of the Sweepstakes and/or the Sweepstakes. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE SWEEPSTAKES, AND THE LAWS OF THE STATE OF NEW YORK SHALL EXCLUSIVELY GOVERN THE SWEEPSTAKES. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.

4. PRIZES: One (1) grand prize winner will win a limited edition Michael Jackson "Thriller 25" iPod® brand MP3 player. Two (2) runner-up prize winners will each receive the Michael Jackson Video Anthology. The total approximate retail value of all prizes combined is Eight Hundred Dollars ($800). The approximate retail value of the prizes represents Sponsor's good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the prizes turns out to be less than the stated approximate retail value, the difference will not be awarded in cash. iPod® is a registered trademark of Apple Computer, Inc. Apple Computer, Inc. is not an official partner or sponsor of the Sweepstakes.

5. PRIZE RESTRICTIONS: Prizes may not be sold, bartered or transferred. Taxes on prizes and all expenses related to the acceptance and use of a prize not specified herein are the sole responsibility of winners. No assignment, transfer, or cash redemption of any prize, in whole or in part, is permitted. No prize substitution except as specified or by Sponsor as solely determined by Sponsor, in which case a prize of comparable or greater value will be awarded. Winner may be issued an IRS 1099 Form for the fair market value of the prize.

6. DETERMINATION OF WINNER: Winners will be determined by a random drawing from among all valid eligible entries received. Drawing will be conducted on or about April 9, 2008 by the Sponsor, whose decisions are final and binding in all matters related to the Sweepstakes. Odds of winning the Sweepstakes depend on the total number of eligible entries received. Winner will be notified by telephone and/or e-mail and may be required to complete, sign and return an Affidavit of Eligibility and Liability Release and (where legal) a Publicity release within five (5) calendar days of receipt. Where a prize or a prize notification letter/e-mail is returned as undeliverable, or a prospective winner does not comply with this time period, the prospective winner will be disqualified and the corresponding prize may be awarded to an alternate winner in a separate random drawing from all non-winning eligible entries. If the potential winner is not of the age of majority in his/her state of residence, at Sponsor's sole discretion the prize may be awarded to the parent or legal guardian of the winner, and such parent/legal guardian will be required to complete all required documentation.

7. LIST OF WINNERS: For a list of winners' names, send a self-addressed, stamped envelope to: ATTENTION: "WIN A LIMITED EDITION THRILLER 25 MP3 PLAYER" SWEEPSTAKES, SONY BMG MUSIC ENTERTAINMENT, 550 Madison Ave, New York, NY 10022 by May 31, 2008.

8. GENERAL: In the event of a dispute over who submitted an entry, such entry will be declared made by the authorized account holder of the telephone number, pager number or e-mail address submitted at the time of entry. An "authorized account holder" is defined as the natural person who is assigned to a telephone number, pager number or e-mail address by a telephone company, wireless service provider, Internet access provider, Internet service provider, or other organization (e.g. business, educational, government, institution, etc.) that is responsible for assigning telephone numbers, pager numbers, wireless phone numbers and, e-mail addresses, for the telephone exchange associated with the submitted telephone or pager number or the domain associated with the submitted telephone, pager number or e-mail address, as applicable.
